Section 1 — Parties

This Software Development Agreement ("Agreement") is entered into as of March 15, 2026 by and between Meridian Technologies Inc., a Delaware corporation ("Client"), and NovaBuild Solutions LLC, a California limited liability company ("Developer").

Section 2 — Scope of Work

Developer agrees to design, develop, and deliver a custom enterprise resource planning (ERP) system as described in Exhibit A ("the Project"). The Project shall be led by Sarah Chen, Senior Architect, and Marcus Rivera, Lead Developer, with oversight from Client's representative David Park.

Section 3 — Compensation

Client shall pay Developer a total fee of $485,000 for the Project, payable in milestones as follows: 20% upon execution of this Agreement, 30% upon completion of Phase 2, 30% upon completion of Phase 4, and 20% upon final delivery and acceptance.

Section 4 — Timeline

The Project shall commence on April 1, 2026 and shall be completed no later than November 30, 2026. Developer shall provide monthly progress reports to Client. Any delays exceeding 14 calendar days must be communicated in writing with a revised timeline.

Section 5 — Intellectual Property

All intellectual property rights in the deliverables shall be assigned to Client upon full payment. Developer retains the right to use general knowledge, skills, and experience gained during the Project, as well as any pre-existing tools or libraries ("Developer Tools") identified in Exhibit B.

Section 6 — Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information shared during the course of this Agreement. This obligation shall survive for a period of three (3) years following the termination of this Agreement.
